These Terms of Use (the “Terms”) govern your access to and use of the Site, including any content, functionality, services, and materials offered on or through the Site (collectively, the “Services”). The Site is owned and operated by Elite Prosthetic Dentistry, a dental practice located at 4400 Jenifer Street NW, Suite 220, Washington, DC 20015 (referred to herein as “we,” “us,” “our,” or “Elite Prosthetic Dentistry”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site. These Terms apply to all visitors, users, and others who access or use the Site.

We do not knowingly collect personal information from children under 13 years of age, as outlined in our Privacy Policy.

2. Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, text, graphics, images, logos, icons, designs, photographs, videos, audio clips, software, patient stories, smile galleries, educational materials such as the free e-book “Cosmetic Dentistry Patient’s Guide,” and other materials) are owned by Elite Prosthetic Dentistry, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Specific trademarks include the “Elite Prosthetic Dentistry” name and logo, as well as references to patented technologies such as Dr. Gerald Marlin’s custom anatomic implant abutments (patent details available on the Site).

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
You may store files that are automatically cached by your web browser for display enhancement purposes.
You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end-user license agreement for such applications.

All User Contributions must comply with these Terms. By posting User Contributions, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You represent and warrant that:

You own or control all rights in and to the User Contributions and have the right to grant the license above.
All of your User Contributions do and will comply with these Terms.

We are not responsible or liable for any User Contributions. We have the right to remove or refuse to post any User Contributions for any reason.

5. Disclaimer of Warranties

The information presented on or through the Site is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk.

The Site provides information about dental services, including implant dentistry, cosmetic dentistry, full mouth reconstruction, and related procedures. This information is not intended to be a substitute for professional medical advice, diagnosis, or treatment. 6. Limitation of Liability

IN NO EVENT WILL ELITE PROSTHETIC DENTISTRY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

8. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the internal laws of the District of Columbia, United States, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the District of Columbia, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

9. Indemnification

You agree to defend, indemnify, and hold harmless Elite Prosthetic Dentistry, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.

10. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Elite Prosthetic Dentistry agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any services provided by Elite Prosthetic Dentistry (collectively, “Disputes”) shall be resolved through binding arbitration on an individual basis, rather than in court, except that either party may bring an individual action in small claims court in the District of Columbia if the claim qualifies.

Arbitration Rules and Forum: Arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, which are available at adr.org. The arbitration shall take place in Washington, D.C. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver: YOU AND ELITE PROSTHETIC DENTISTRY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.

Opt-Out: You may opt out of this arbitration provision by sending written notice to Elite Prosthetic Dentistry at the address listed in Section 14 within thirty (30) days of first accepting these Terms. If you opt out, neither you nor Elite Prosthetic Dentistry waives the right to pursue a claim in court.

Exceptions: Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

This arbitration agreement shall survive the termination of your relationship with Elite Prosthetic Dentistry and the termination of these Terms.

11. Privacy Policy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, and protect your personal information. Please review it at eliteprostheticdentistry.com/privacy-policy. By using the Site, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

If any provision of these Terms is held to be invalid or unenforceable, such provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
